Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aitracka platform and website at aitracka.com (the "Service"), operated by Aitracka Inc. ("Aitracka," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Aitracka is an AI-assisted project management platform that provides tools for project planning, task management, scheduling, budgeting, risk and issue tracking, document management, and reporting. The Service includes AI-powered features that assist users with project management tasks.

2. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• One account per individual. Sharing login credentials is not permitted.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Abuse, overload, or interfere with the AI features, including submitting automated, scripted, or bot-generated queries.
• Attempt to access, scrape, or collect data from other users' accounts or organizations.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Upload malicious files, viruses, or harmful code through the document management features.
• Use the Service to store or process data that violates third-party rights.
• Resell, redistribute, or sublicense access to the Service without our written consent.

4. Your Content

Ownership: You retain all rights to the content you create, upload, or store through the Service ("Your Content"), including project charters, tasks, documents, budgets, and all other Project Data.

License: By using the Service, you grant Aitracka a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing and improving the Service. We do not use Your Content for any other purpose.

Responsibility: You are solely responsible for the accuracy, legality, and appropriateness of Your Content.

5. Intellectual Property

The Service, including its design, code, branding, logos, documentation, and all related intellectual property, is owned by Aitracka Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements.

6. AI Features

• AI-generated outputs (suggestions, drafts, analysis) are provided as recommendations only and do not constitute professional advice.
• You are responsible for reviewing and validating all AI-generated content before relying on it.
• We do not guarantee the accuracy, completeness, or suitability of AI outputs.
• AI queries and page context are sent to our AI processing provider to generate responses. This data is processed in real time and is not used to train AI models.
• AI query limits vary by plan. Exceeding your plan's limit will pause AI features until the next billing cycle or until you purchase additional query packs.

7. Payment Terms

• Billing: Paid plans are billed monthly or annually in advance, depending on your chosen billing cycle.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
• Refunds: We offer a pro-rated refund for annual plans cancelled within the first 30 days. Monthly plans are non-refundable.
• Price changes: We will provide at least 30 days' notice before any price increase takes effect.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users in advance of planned maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AITRACKA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Aitracka and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

• You may terminate your account at any time by contacting us or using the account settings.
• We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the Service.
• Upon termination, you may request an export of Your Content within 30 days. After 30 days, we will delete Your Content in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, United States.

14. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
